債権者の承諾を要するのは、債務者の履行能力にある。

債務者の承諾を要するのは、相殺原資を確保するため。

 

Full Version

Neither party may assign, pledge or otherwise encumber this Agreement or its any right and obligation hereunder, without the prior written consent of the other party.

相手方の事前の書面による同意無しに、いずれの当事者も本契約または本契約に基づく権利義務を譲渡し、質権を設定し、その他担保を設定してはならない。

【解説】金銭債権が発生する場合、金融機関に質権や担保権が設定されることがあるため、それを防ぐ目的。融資契約、リース契約、ファイナンス契約などでよく見られる。

書面の同意が条件

Neither party may assign to any third party this Agreement or any right or obligation under this Agreement without prior written approval from the other party.

いずれの当事者も、相手方の事前の書面による承諾を得ずに、第三者に対し、本契約または本契約に基づく権利もしくは義務を譲渡してはならない。

 

This Agreement or any part of this Agreement may not be assigned or transferred by either party without the prior written consent of the other party. Any assignment or transfer without such consent shall be null and void.

本契約またはその一部は、他方当事者の事前の書面による同意無しに譲渡することができないものとする。かかる同意がない譲渡は無効とする。

 

 

wholly-owned subsidiary(完全子会社)への譲渡や包括承継

 

Each party hereto shall have the right to assign this Agreement and to assign its rights and delegate its duties under this Agreement, either in whole or in part, at any time upon notice to the other party and without the other party’s consent, to any present or future direct or indirect wholly-owned subsidiary of such assigning party.

いずれの当事者も、その全部または一部を問わず、いつでも、相手方への事前の通知により、相手方の承諾なく、譲渡する当事者の現在または将来における直接または間接の完全子会社に対して、本契約および本契約に基づく権利を譲渡し並びに本契約に基づく義務を下請けに出す権利を有する。

 

 

Counter

子会社への譲渡を例外として認める場合であっても、以下のカウンター

Counter1：However, in such event, Assigner shall remain liable for any breach of this Agreement.（譲受人の債務不履行の場合の損害賠償）

Counter2：Assigner shall cause such Assignee to perform this Agreement as fully and effectively as if were performed by Assigner and Assigner shall unconditionally guarantee such performance.（履行保証）

Except to transferring business

Except to any legal person acquiring all or substantially all the business and assets of such Party.

相手方の不承諾に備えて

The other party shall not withhold such approval without reasonable grounds.

相手方は、合理的な理由なく承諾を拒否してはならない。

 

Assignment and Delegation    譲渡または下請の禁止

 

Neither party shall assign this Agreement or its rights under this Agreement or delegate its obligation under this Agreement without the other Party’s prior written consent, which consent shall not be unreasonably withheld.

両当事者は相手方の書面による事前の同意無しに、本契約若しくは本契約に基づく権利を譲渡し、または本契約に基づく義務を下請け出してはならないものとする。ただし、かかる同意は不合理に拒否されないものとする。

 

not relieved of obligation譲渡・下請後も元の契約者が責任を免れない

In the event of such assignment or delegation, the assigning or delegation party shall remain liable to the other party and shall not be relieved of any obligation under this Agreement.

かかる譲渡若しくは下請けがなされた場合、譲渡若しくは下請けに出した当事者は相手方に対する法的責任を引き続き負い、また本契約に基づく義務を免れない。

 

Notwithstanding the foregoing, such assignment or delegation shall not release such assigning party from any of its obligations under this Agreement

上記に関わらず、かかる譲渡や下請けは譲渡した当該当事者の本契約に基づく義務を免れさせるものではない。

 

Assignment, pledge, otherwise encumber

Without the prior written consent of the other party, neither party may assign, pledge or otherwise encumber this Agreement or its rights hereunder.

相手方の事前の書面による同意無しに、いずれの当事者も本契約または本契約に基づく権利を譲渡し、質権を設定し、その他担保を設定してはならない。
